Environmental services firm sold to PE-backed compliance group

Brownfield Solutions, an environmental services firm with offices in Bromsgrove and Northwich, has been acquired by private equity-backed compliance group Celnor Group as part of its buy and build growth strategy.
Reading-based Celnor is backed by Inflexion Private Equity and is actively seeking acquisitions of firms offering testing, analysis, compliance and certification related services with annual profits of between £250,000 and £10 million in the UK, Europe and North America.
Brownfield Solutions provides geo-environmental services, including contaminated land risk assessment and site investigation, for property owners and developers. The company’s services are used to support due diligence, development design, project feasibility and remediation work for both brownfield and greenfield sites.
Celnor’s M&A drive comes at a time when ESG is an ever more pressing consideration in dealmaking activity, with environmental and sustainability often core factors in how investors such as private equity firms deploy their capital.
Celnor Group founder and CEO Simon Parrington said: “Brownfield Solutions is a business with a strong reputation that will fit perfectly alongside GIP in our geo-environmental sector. The two companies offer complementary services and the acquisition extends both our geographic coverage and technical capability.”
Brownfield Solutions Director Tony Hewitt said that Celnor “shares our values and cares about developing and supporting employees” and added that the acquisition would give the company “a platform for growth and the support we need to focus on the technical delivery of services for customers.”
Fellow director James Jacob added that the takeover was “an exciting and very positive step in the development and future growth of Brownfield Solutions.”
